Definitions

“IMDA” and “us” shall refer to Image Data Limited.

“You”, “your” and “the customer” shall refer to Customer name.

“Agreement” shall refer to this document in its entirety and all clauses and schedules contained herein.

Equipment Provided & Maintained

Equipment as detailed in machine details

Notwithstanding anything contained herein to the contrary, the term of this agreement is for the minimum term laid out in agreement details and shall be automatically renewed for an additional twelve month period unless either party terminates the agreement by giving at least one month prior written notice via email to the other party, such termination to take effect at the expiration of the minimum term or any subsequent twelve month period.  In the event of early termination of this Agreement, the remedy for estimated loss of earnings will be charged.

Pricing

The charge for the equipment and maintenance is detailed in agreement details and or machine details.

IMDA reserves the right to increase charges for service and rental as of the anniversary date of the agreement, and thereafter as of any subsequent anniversary dates. Such increase will be in line with the percentage increase of the RPI (Retail Price Index) as published by the Department of Trade & Industry in the United Kingdom or 6%, whichever is greater.

Image Data reserves the right to charge for the following,

(a) Any scan produced that does not result in the production of a copy or print being produced.  The first 5,000 scans per month are free of charge and £0.002 per scan thereafter.

(b) Any consumable items, where such consumables are replaced before they require replacement based upon the manufacturer's recommended expected life.

(c) Any excess usage of toner. The cost per print includes the supply of toner necessary to provide prints on the Equipment to yield an overall average image coverage for mono of 5% and colour at 5%.

Direct Debit

By signing the Direct Debit instruction you have agreed to pay by Direct Debit.  If for whatever reason we cannot collect these amounts from your account, any unpaid amounts will be included in the next month’s deduction.  IMDA will charge £25.00 fee for all unpaid Direct Debits.  IMDA will not refund instalments owed or bank charges unless due to error by IMDA.  Please call our accounts on 0845 543 6710 or email accounts@imda.co.uk who will be happy to deal with any queries you may have regarding invoices and amounts to be collected.

Customer’s Obligations

In order for us to perform the service, the customer shall allow us access to all equipment to be serviced, subject to your reasonable security, health and safety requirements.

Breach/Damages

IMDA will not be responsible for any consequential loss or damages relating to this contract. 

All consumables, including toner cartridges, fusers, drums, and transfer kits have to be changed when they are empty.  Changing consumables prematurely will result in remaining prints being charged.

If a consumable is found to be faulty, a replacement will be delivered.  The faulty consumable must be returned to Image Data unless advised otherwise. If you dispose of the consumable without our permission, you will incur a charge of the retail value of the consumable.

Force Majeure

Except for the obligations of payment set forth herein, neither IMDA, nor the customer shall be responsible for failure of performance of contracts resulting from orders placed hereunder, due to causes beyond its control including but not limited to: work stoppages, fires, riots, rebellions, insurrections, acts of God and similar occurrences.

Governing Law & Jurisdiction

This agreement shall be governed by the laws of England and Wales and the parties hereby submit to the non-exclusive jurisdiction of the Courts of England and Wales.

Consumer Rights

Nothing in these conditions shall affect the statutory rights of a consumer.

This agreement is made between Customer name and Image Data Limited.
